These Terms of Service ("Terms") form a legal agreement between you and EasyEntry LLC, a New York limited liability company ("EasyEntry", "we", "us", or "our"), and govern your access to and use of the EasyEntry website at easyentry.ai and the software services we provide through it (together, the "Service").
By creating an account or using the Service in any way, you confirm that you have read these Terms and agree to be bound by them. If you are accepting these Terms on behalf of a company or other entity, you represent that you have the authority to do so. If you do not agree, please do not use the Service.
EasyEntry is a software tool that helps small businesses reconcile their books against bank statements. The Service accepts CSV files representing bank activity and profit-and-loss line items from the user, uses artificial intelligence to suggest categorizations for each transaction, and produces a reconciliation report the user can review and export.
EasyEntry is a software tool. It is not a bookkeeper, accountant, tax preparer, or financial advisor, and it does not provide accounting, tax, legal, or financial advice. Section 7 below describes the limits of the Service in more detail, and you should read it carefully before relying on the Service for any purpose.
EasyEntry offers the following subscription tiers, priced in U.S. dollars:
A "page" means a single reconciliation run against an uploaded bank statement. On paid plans, your page allocation resets at the beginning of each billing cycle; unused pages do not carry over. The Free tier is a one-time trial and does not renew.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual, as applicable) unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal.
Cancellation. You may cancel at any time through your account settings or the Stripe customer portal. Cancellation stops future renewals; it does not retroactively refund the current period, and you retain access until the end of the cycle you have already paid for.
Refunds. Monthly subscriptions are non-refundable once charged. Annual subscriptions are refundable, prorated for time used, within fourteen (14) days of the initial charge if you have used fewer than two pages during that period. After that window, annual plans are non-refundable. We reserve the right to grant refunds outside this policy at our discretion.
Payment processing. Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms and privacy policy in addition to these Terms. We do not store full card numbers on our servers.
Price changes. We may change subscription prices at any time with at least thirty (30) days' notice, sent to the email address on your account. Price changes will take effect on your next renewal after the notice period.
Failed payments. If a renewal payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful, we may suspend your account until the balance is settled.
When using the Service, you agree that you will not:
You retain ownership of all content you upload to the Service, including bank statements, profit-and-loss data, transaction descriptions, and any other files you submit (collectively, "Your Data"). We claim no ownership of Your Data.
You grant us a limited license to process Your Data solely for the purpose of providing the Service to you: parsing files, transmitting them to the artificial-intelligence providers we use for categorization, returning results to you, and maintaining basic logs necessary to operate the Service. We do not sell Your Data, and we do not use Your Data to train models.
Our Privacy Policy, available at easyentry.ai/privacy, describes in detail how we handle Your Data.
EasyEntry, including its software, design, user interface, branding, documentation, and any content we create, is owned by EasyEntry LLC and is protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms transfers any of our intellectual-property rights to you. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription, and nothing more.
The Service uses artificial intelligence to suggest categorizations for bank transactions against profit-and-loss line items you provide. Artificial intelligence can and does make mistakes. Results produced by the Service should be treated as a starting point that requires review, not as a finished product that can be relied upon without further verification.
You acknowledge and agree that:
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including any warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components, and we make no warranty regarding the accuracy of AI-generated output.
To the fullest extent permitted by applicable law, EasyEntry LLC, together with its members, officers, employees, contractors, and affiliates, will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any and all claims arising out of or related to these Terms or the Service, regardless of the cause of action, will not exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless EasyEntry LLC and its members, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any content you upload to the Service.
You may cancel your subscription or close your account at any time by using the tools in your account settings or by emailing help@easyentry.ai. Closing your account stops further billing; it does not automatically refund any amount already paid.
We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, if your account has unpaid fees, or if we are required to do so by law. We will try to give you notice when it is reasonable to do so, but are not obligated to do so in cases involving abuse, fraud, or legal requirement.
On termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
Informal resolution first. Before filing any formal claim, you agree to contact us at help@easyentry.ai and give us sixty (60) days to attempt to resolve the dispute informally.
Class-action waiver. To the extent permitted by law, you agree that any dispute will be resolved on an individual basis only and not as part of any class, consolidated, or representative action.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page, update the "Last updated" date above, and notify you by email or through the Service. Changes take effect thirty (30) days after notice, except that changes required for legal or security reasons may take effect immediately. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
